These terms set out how Fernside Studio delivers design and development services. By commissioning us or using our site you agree to the details below.

2. Definitions
- "We", "Us", "Our": Fernside Studio
- "You", "Your", "Client": The person or organisation engaging our services
- "Services": Web strategy, design, development, copywriting, content creation, and ongoing optimisation
- "Project": A defined piece of work agreed between both parties, documented via proposal or statement of work
- "Deliverables": Any files, assets, prototypes, or code provided as part of the project
3. Acceptance of Terms
By working with Fernside Studio you confirm that:
- You have the authority to enter into a contract
- You have read and agree to these terms
- Any information you supply is accurate
- You are at least 18 years old
4. Services
Typical engagements include:
4.1 Strategy & Research
- Discovery workshops and brand positioning
- Content and information architecture planning
- Web performance audits and recommendations
4.2 Design & Development
- Landing pages and marketing sites
- Component libraries, design systems, and prototypes
- Astro development, integrations, and testing
4.3 Ongoing Support
Retainers for iteration, experimentation, and performance upkeep. Scope and cadence are agreed in writing before work begins.
5. Project Process
5.1 Discovery
We host a call or async workshop to review goals, audiences, success metrics, and timelines.
5.2 Proposal & Agreement
You receive a written outline covering scope, deliverables, timeline, and investment. Projects start once both parties sign and the deposit is paid.

5.3 Delivery
We design, build, and review deliverables in the agreed order. Feedback windows are defined inside the proposal.

6. Client Responsibilities
To help us keep projects on track you agree to:
- Provide timely access to required accounts, content, and assets
- Nominate a decision-maker for feedback and approvals
- Supply feedback within agreed review windows
- Ensure any provided materials are licensed for use
- Test deliverables on receipt and flag issues promptly
- Pay invoices within the stated terms
7. Payment Terms
7.1 Pricing
- All amounts are quoted in GBP and exclude VAT unless stated
- Quotes remain valid for 30 days
- Scope changes require a written variation and may affect cost
7.2 Schedule
- 50% deposit due before scheduling
- Remaining balance due before final handover or deployment
- Retainers billed monthly in advance
- Invoices payable within 14 days unless otherwise agreed
7.3 Late Payments
- Overdue invoices may incur interest at 2% per month
- We may pause work until outstanding balances are settled
- We reserve the right to withhold deliverables until payment is received
8. Revisions & Scope
8.1 Included Revisions
Each phase includes at least one structured feedback round covering:
- Copy tweaks and layout refinements
- Accessibility or performance adjustments
- Minor art-direction changes within the approved concept
8.2 Additional Work
New features, substantial redesigns, or late-stage changes may be billed at our day rate or scoped as a new project.

- Additional pages or templates
- Integrations beyond the agreed list
- Requests made after sign-off
9. Intellectual Property
9.1 Client Content
You confirm that any content, imagery, or assets you supply are yours or that you have permission to use them.
9.2 Project Deliverables
Once the project is paid in full you own the final design and code for the agreed use. Fernside Studio retains the right to showcase the work in our portfolio and marketing materials.
- Open-source libraries remain under their original licenses
- Internal tooling, scripts, and workflows remain Fernside Studio IP
- We may reuse foundational components to deliver future work faster
9.3 Credits
We may include a discreet credit link in the footer. You can request its removal in writing once the project is complete.
10. Hosting & Handover
10.1 Hosting
- We can provide hosting recommendations or configure platforms on your behalf
- Ongoing hosting fees are your responsibility unless a retainer is in place
- We cannot guarantee uptime for third-party providers
10.2 Maintenance
- Post-launch fixes are covered for 14 days
- Further optimisation or feature work can be arranged via retainer
- We recommend maintaining backups and monitoring as best practice
11. Warranties & Disclaimers
11.1 Our Commitments
We warrant that the work will be carried out with reasonable skill and care.
- Code will be original and free from malicious software
- Sites will function as documented at handover
- We will meet agreed timelines where dependencies are met
11.2 Limitations
We cannot promise specific rankings, revenue, or traffic numbers. Third-party changes (browser updates, search algorithm shifts, etc.) are beyond our control.
- We are not liable for indirect or consequential losses
- Any client-managed changes may void warranties
12. Liability
Our total liability is limited to the total fees paid for the project in question.
- We are not responsible for loss of profit, revenue, data, or goodwill
- Claims must be raised within 12 months of project completion
- You are responsible for backing up all deliverables once supplied
13. Termination
13.1 By the Client
You may terminate with 14 days’ written notice.
- All completed work to date becomes payable
- Deposits are non-refundable
- We will deliver any in-progress assets up to the termination date
13.2 By Fernside Studio
We may terminate if invoices remain unpaid, communication stalls for more than 14 days, or these terms are breached.
- We will issue written notice with reasons
- You remain liable for completed work
14. Force Majeure
Neither party is liable for delays caused by events outside reasonable control (natural disasters, infrastructure failures, etc.). We’ll notify each other and agree a revised timeline where possible.
15. Privacy & Data

During projects we may access or store your customer data. We treat any information you share as confidential and only process it to deliver the agreed work.
- We sign NDAs on request
- We follow GDPR and industry best practices
- Sensitive credentials should be shared securely
16. Governing Law
These terms are governed by English law. Any disputes fall under the exclusive jurisdiction of the English courts, though we aim to resolve issues through conversation first.
17. Changes to These Terms
We may update these terms to reflect new services or legal requirements.
- The latest version will always live on this page
- Material changes will be communicated to active clients
- Updates take effect immediately for new projects
- Existing projects continue under previous terms unless agreed otherwise
